These Terms of Service (“Terms”) together with our Privacy Policy form a legally binding agreement (“Agreement”) between 路斯德有限公司 (Lucid Modules), No. 45, Lane 59, Section 2, Zhongshan North Road, Zhongshan Dist., Taipei City, Taiwan (R.O.C.), 104, ID 83267784 (“Company,” “we,” “us,” “our”) and you (“User,” “you,” or “your”). By creating an account, accessing our websites, or purchasing/using our products or services, you agree to these Terms. If you do not agree, do not use our Services. In the event of a conflict between these Terms and any addendum or order form, the addendum/order form prevails for the conflicting subject matter.
1. Definitions
- “Account” means an account you create to access the Service.
- “Service” means our software, modules, websites, and related services available via https://lucidmodules.com/ and associated subdomains.
- “Website” means our sites at the above URLs.
- “Order” means a purchase or subscription you make for our Products or Services.
- “Product” means software, modules, or digital content licensed or provided by us.
- “Sub-processor” means third parties we use to provide the Service.
- “Third-Party Service Provider” means any third party that processes data under our instructions (including payment providers and hosting partners).
2. Eligibility and Account
- You must be at least the age of majority in your jurisdiction (typically 18), or have legal capacity/authority to enter into this Agreement on behalf of an entity.
- You are responsible for maintaining the confidentiality of your Account credentials and for all activities under your Account.
- You must provide accurate information and keep it up to date.
3. Merchant of Record; Paddle Buyer Terms
- We use Paddle as our Merchant of Record and authorized reseller. Paddle processes your payment, issues invoices/receipts, and determines, collects, and remits applicable taxes.
- Your purchase is also governed by Paddle’s Buyer Terms. When you check out or view your first Paddle invoice, you may be asked to accept Paddle’s Terms. This acceptance is generally required once per customer.

- If Paddle provides separate Buyer Terms for business vs. consumer customers for your checkout, the applicable Paddle terms will be presented at purchase time. If you are purchasing for personal use, you are deemed a “consumer.” If you purchase on behalf of a company or with a VAT/tax ID, you are deemed a “business.”
4. Description of the Service
We provide digital products and services, including without limitation: (a) software extensions and plugins, (b) scripts and code components, and (c) hosted software-as-a-service (SaaS) offerings (collectively, the “Service” and “Products”). The Service may include the following elements:

Delivery and Access
- Products may be delivered via download link, repository access, license key, or enabled within your account. SaaS features are delivered via hosted access tied to your account/subscription.
- Some Products may require online activation or periodic license checks.

Features and Functionality
- Features can include configuration options, integrations, and automations designed to extend or interoperate with supported platforms, frameworks, or third‑party services.
- Specific capabilities, supported versions, and compatibility requirements are described on the relevant product pages or documentation.

Dependencies and Integrations
- Products may depend on third‑party platforms, APIs, or services (e.g., CMS/ecommerce platforms, cloud providers, payment services). You are responsible for obtaining and maintaining any required third‑party accounts, subscriptions, or licenses.
- We are not responsible for changes made by third parties (including API, pricing, or policy changes) that may affect functionality or availability. Where feasible, we will use commercially reasonable efforts to adapt.

Updates and Changes
- We may provide updates, patches, or new versions for security, compatibility, or feature improvements. Some updates may be required to maintain functionality or security.
- We may add, modify, or deprecate features, or retire Products or editions. For material changes that adversely affect you, we will provide reasonable notice where practicable.

Availability and Support
- SaaS components are provided on an “as-available” basis, with planned and emergency maintenance as needed. We aim for high availability but do not guarantee uninterrupted service.
- Support scope, channels, and response targets (if any) are described on our website, in your plan, or order documentation.

Pre‑release, Beta, and Trials
- We may offer preview, beta, or trial features or Products. These may be time-limited, may change without notice, and are provided “as is” and “as available.”

Use Scope
- Your use of Products is subject to the license and usage limits (e.g., seats, environments, domains, instances) stated at purchase or in your account, and any applicable documentation.
For the avoidance of doubt, the Service does not include your internet access, hardware, third‑party software or services, or any costs associated with them. Compatibility information, system requirements, and supported platforms are provided in the applicable documentation or product pages and may change over time.
5. Ordering, Delivery, and Activation
- Delivery: Products are typically delivered by download link, license key, account entitlement, or in-product activation immediately after successful payment. Delivery is complete when the Product is made available for download or activation.
- System Requirements: You are responsible for ensuring your environment meets our published system requirements. We are not responsible for incompatibilities caused by your environment.
- Access: We may use technical measures (e.g., license keys, online checks) to manage access and enforce licensing.
6. Pricing, Taxes, Currency, and Invoices
- Prices are as displayed at checkout unless otherwise stated. Taxes (e.g., VAT/GST/sales tax) are calculated by Paddle and shown at checkout where applicable.
- Currency and FX: Your card issuer/payment provider may apply currency conversion or fees. Any such charges are your responsibility.
- Invoices/receipts are issued by Paddle as the reseller/Merchant of Record.
7. Refunds, Cancellations, and Right of Withdrawal
- Unless stated otherwise in an Order or our Refund Policy, purchases of digital Products are generally non-refundable once delivery/activation begins.
- EU/UK consumer right of withdrawal: If you are an EU/UK consumer purchasing digital content not supplied on a tangible medium, you may have a 14-day cooling-off period. You expressly consent to immediate delivery and acknowledge you lose the right of withdrawal once download, activation, or use begins. If you do not wish to waive this right, do not begin download/activation during the cooling-off period.
- How to request a refund: Contact our support or use the link in your Paddle receipt/portal to request assistance. Refund eligibility will be evaluated in line with our policy and applicable law.
8. Subscriptions and Auto-Renewal (if applicable)
- Subscriptions renew automatically at the end of each billing period at the then-current price unless canceled before renewal.
- Cancellation: You can cancel via your account or via the Paddle customer portal link in your receipt/invoice. Cancellation takes effect at the end of the current billing period; no refunds for partial periods unless required by law or explicitly offered by us.
- Changes: We may change subscription prices with notice in accordance with applicable law. Continued use after the effective date constitutes acceptance of the new price.
9. License Grant and Restrictions
- License: Subject to payment and compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Product for your internal business or personal use, within the scope (e.g., seats/users/devices) shown at purchase.
- Restrictions: You may not (and may not permit others to) copy (except for backup), modify, create derivative works, distribute, resell, publicly display, or reverse engineer the Product, except to the extent such restriction is prohibited by applicable law. Circumventing license controls, scraping, or automating unauthorized access is prohibited.
- Ownership: We and our licensors retain all rights, title, and interest in and to the Products and the Service.
10. Acceptable Use
You must not use the Service to:
- Violate laws, third-party rights, or our policies.
- Upload/transmit malware, attempt to gain unauthorized access, or interfere with the Service or other users.
- Misrepresent your identity, billing details, or the purpose of use.
- Export or re-export the Product in violation of export control or sanctions laws.
11. Third-Party Services and Integrations
The Service may interoperate with third-party products or services. Your use of such third-party offerings is subject to their terms and privacy policies. We are not responsible for third-party offerings.
12. Data Protection and Privacy
- We process personal data in accordance with our Privacy Policy, which explains what we collect, how we use it, and your rights.
- We may engage Sub-processors (including hosting, analytics, support, and payment providers) in various countries to provide and secure the Service.
- Paddle processes buyer information as Merchant of Record. See Paddle’s buyer-facing terms and notices available from the checkout and invoice pages.
13. Support, Maintenance, and Changes
- Support: We provide commercially reasonable support via the channels listed on our Website. Response times are not guaranteed unless expressly stated in an order or support plan.
- Updates: We may provide updates, fixes, or new versions at our discretion. Some updates may be required to continue using the Service. We may modify or discontinue features with reasonable notice where practicable.
14. Availability and Downtime
We aim for high availability but do not guarantee uninterrupted, timely, secure, or error-free operation. Planned maintenance or emergency downtime may occur.
15. Warranties and Disclaimers
THE SOFTWARE AND DOCUMENTATION, IF ANY, ARE PROVIDED "AS IS", WITHOUT
WARRANTY OF ANY KIND,
EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.
IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY
CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT,
TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE
SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE AND
DOCUMENTATION.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OR INABILITY TO USE THE SOFTWARE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE, SERVICES, OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY. THE ABOVE EXCLUSIONS AND LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE AND FOR FRAUD OR FRAUDULENT MISREPRESENTATION. YOUR MANDATORY CONSUMER RIGHTS (IF ANY) REMAIN UNAFFECTED.
17. Indemnification
You will indemnify and hold us harmless from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, violation of laws or third-party rights, or misuse of the Service or Products.
18. Suspension and Termination
We may suspend or terminate access for material breach, unlawful activity, non-payment, or to protect the Service, users, or third parties. Upon termination:
- Your license and access end.
- You must cease using and uninstall the Products.
- Sections that by nature should survive (e.g., IP, payment obligations, disclaimers, limitations, and governing law) will survive.
19. Consumer Rights and Local Law
If you are a consumer, mandatory consumer protection laws of your country of residence may grant you specific rights. Nothing in these Terms is intended to limit such mandatory rights. Where required, the “consumer” version of Paddle’s Buyer Terms applies to consumer purchases; the “business” version applies to business purchases.
20. Changes to these Terms
We may update these Terms by posting the new version on the Website. Material changes will be notified where practicable. Your continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and, if applicable, cancel your subscription.
21. Governing Law and Dispute Resolution
- Governing Law: These Terms are governed by the laws of Taiwan (R.O.C.), without regard to conflict of law rules.
- Dispute Resolution: Before initiating formal proceedings, the parties will attempt in good faith to resolve disputes through negotiation and, if agreed, mediation within thirty (30) days of notice. If not resolved, the courts of Taiwan (R.O.C.) shall have jurisdiction, subject to any mandatory consumer venue rights.
22. General
- Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
- Assignment: You may not assign or transfer this Agreement without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
- No Waiver: Failure to enforce any provision is not a waiver of the right to do so later.
- Entire Agreement: These Terms and any referenced documents (including Paddle Buyer Terms and your Order) are the entire agreement between you and us regarding the Services and Products.
